We operate Charge, the website https://daily-charge-flow.vercel.app, and any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Charge App concerning your access to and use of the Services.
By accessing or using the Services, creating an account, or purchasing a subscription, you acknowledge that you have read, understood, and agree to be bound by these Legal Terms and our Privacy Policy.
IF YOU DO NOT AGREE WITH THESE LEGAL TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
Charge is a productivity and personal energy management application designed to help users organize tasks, track habits, record personal energy information, and use other productivity and self-management features offered through the Services.
The information provided through the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to applicable law or regulation.
If you access the Services from a location outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.
You must be at least 13 years old to create an account or use the Services. If you are under the age of majority where you live, you may use the Services only with the permission of a parent or legal guardian. By creating an account or using the Services, you represent that you meet these eligibility requirements.
By creating an account or using the Services, you represent and warrant that:
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account to the extent permitted by applicable law.
Charge may support multiple authentication methods, including email and password and Sign in with Apple. If you use a third-party authentication provider, your use of that provider may also be subject to that provider's applicable terms and privacy practices.
If you believe your account has been accessed without authorization, contact us promptly at chargeapp.support@gmail.com.
Unless otherwise indicated, we are the owner or licensee of intellectual property rights associated with the Services, including the software, source code, databases, functionality, website and application designs, text, graphics, logos, icons, images, audio, video, and other materials provided by Charge (collectively, the "Content"), as well as Charge names, trademarks, service marks, and logos (the "Marks").
The Content and Marks are protected by applicable intellectual property and unfair competition laws. Nothing in these Legal Terms transfers ownership of Charge's intellectual property to you.
Subject to your compliance with these Legal Terms, Charge grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for your personal, lawful purposes.
Except as permitted by applicable law, you may not copy, reproduce, distribute, sell, license, publicly display, reverse engineer, decompile, or otherwise exploit the Services or Charge Content without our prior written permission.
The Services may allow you to create, enter, save, or manage information such as tasks, habits, preferences, energy entries, productivity information, journal entries, account information, and other content associated with your use of Charge ("User Content").
Charge does not currently provide a public social posting feature through which users publicly publish User Content to other users.
As between you and Charge, you retain any ownership rights you may have in your User Content.
You grant us a limited right to host, store, process, transmit, reproduce, and otherwise use your User Content only as reasonably necessary to provide, maintain, secure, troubleshoot, and improve the Services, comply with your settings and instructions, and fulfill our legal obligations.
Our collection, use, storage, and handling of personal information is further described in our Privacy Policy.
You are responsible for the accuracy and legality of the information you choose to submit through the Services.
You may choose to send us comments, ideas, suggestions, recommendations, bug reports, feature requests, or other feedback regarding Charge ("Feedback").
By providing Feedback, you understand that we may use, evaluate, modify, or implement that Feedback for purposes such as improving, developing, or operating the Services without compensation or obligation to you.
This section does not give us ownership of your private User Content or personal information.
Charge may offer optional paid features or subscription services, including Charge Plus.
The features included with Charge Plus, the applicable subscription period, price, and any introductory offer or free trial will be displayed to you before you confirm a purchase.
If you purchase Charge Plus through Apple's App Store, payment will be charged to your Apple Account according to the terms presented by Apple at the time of purchase.
Automatic Renewal: Unless otherwise stated at the time of purchase, Charge Plus subscriptions are auto-renewable. Your subscription will automatically renew for another subscription period unless you cancel it before renewal in accordance with Apple's subscription-management procedures.
Your renewal price will be the price applicable to your subscription as presented through the App Store, subject to any notice or consent requirements applicable to price changes.
Cancellation: You may manage or cancel an App Store subscription through your Apple Account subscription settings. Canceling a subscription generally prevents future renewal charges but does not ordinarily terminate access to paid features before the end of the already-paid subscription period.
Deleting Charge or Your Charge Account Does Not Automatically Cancel an Apple Subscription. If you have an active Charge Plus subscription through Apple, you should cancel the subscription through your Apple Account if you do not want it to continue renewing.
Free Trials and Promotional Offers: If Charge offers a free trial, introductory price, promotional offer, or similar promotion, the eligibility requirements, length of the offer, and price that applies after the offer will be disclosed before purchase. Unless canceled through the applicable platform, a trial or introductory subscription may convert to a paid subscription when the promotional period ends.
Refunds: Purchases processed by Apple are subject to Apple's applicable payment, cancellation, and refund policies. Charge does not control Apple's decision regarding refund requests processed by Apple.
We may change, add, or remove Charge Plus features over time. If a change materially affects an active paid subscription, we will handle that change in accordance with applicable law and applicable App Store requirements.
You may use the Services only for their intended and lawful purposes. You agree that you will not:
We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms and to take reasonable action to protect Charge, our users, third parties, and the integrity and security of the Services.
Such action may include restricting access, investigating suspected misuse, removing unauthorized material, suspending accounts, terminating accounts, or taking other appropriate action when reasonably necessary.
These Legal Terms remain in effect while you use the Services.
To the extent permitted by applicable law, we may suspend, restrict, or terminate your access to some or all of the Services when reasonably necessary, including if:
Where reasonable and legally permitted, we may provide notice of suspension or termination.
Termination of your Charge account does not automatically cancel a subscription billed by a third-party platform such as Apple. You remain responsible for managing any such subscription through the platform through which it was purchased.
If you have created a Charge account, you may initiate deletion of your account using the account-deletion functionality provided through the Services.
Account deletion is intended to permanently delete your Charge account and associated personal data maintained by us, subject to limited information that we may be required or permitted to retain for legitimate purposes such as legal compliance, fraud prevention, security, dispute resolution, or enforcement of agreements.

Deleting the Charge application from your device does not itself delete your Charge account.
If you have an active Charge Plus subscription purchased through Apple, deleting your Charge account does not automatically cancel the subscription. You should manage or cancel the subscription separately through your Apple Account.
We may modify, update, add, suspend, or discontinue features or portions of the Services from time to time.
We do not guarantee that every feature will remain available indefinitely or that the Services will operate without interruption, delay, error, or technical difficulty.
Temporary interruptions may occur because of maintenance, updates, technical failures, network conditions, third-party services, security concerns, or circumstances beyond our reasonable control.
Information presented through the Services may occasionally contain typographical errors, inaccuracies, bugs, or omissions. We reserve the right to correct errors and update information through the Services when appropriate.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
We do not warrant that the Services will always be uninterrupted, error-free, secure, or suitable for every user's individual needs.
No Medical Advice: Charge is a productivity and personal energy tracking tool. Charge is not a medical, healthcare, diagnostic, or emergency service.
The Services, including energy metrics, energy scores, trends, task or habit tracking, recommendations, reminders, prompts, Daily Spark content, journal features, and other information provided through Charge, are intended for general productivity and self-management purposes only.
Nothing provided through Charge is intended to constitute medical advice, diagnosis, treatment, or a recommendation to begin, stop, or modify any medical treatment.
You should not rely on Charge or information generated through Charge when making medical or healthcare decisions.
Always seek the advice of a physician or other qualified healthcare professional regarding questions concerning a medical condition, fatigue, mental health, treatment, medication, or other health concern.
CHARGE IS NOT AN EMERGENCY SERVICE AND SHOULD NOT BE USED OR RELIED UPON IN A MEDICAL, MENTAL HEALTH, OR OTHER EMERGENCY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHARGE APP AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.
To the maximum extent permitted by applicable law, our total aggregate liability for claims arising out of or relating to the Services or these Legal Terms will not exceed the greater of the amount you paid directly for the Services during the twelve months immediately preceding the event giving rise to the claim or fifty U.S. dollars (US $50).
Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, the limitations above will apply only to the maximum extent permitted by applicable law.
Nothing in these Legal Terms excludes or limits liability that cannot lawfully be excluded or limited.
To the extent permitted by applicable law, you agree to indemnify and hold harmless Charge App and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, losses, and reasonable expenses arising from your material violation of these Legal Terms, unlawful or fraudulent use of the Services, violation of another person's rights, or intentional misconduct in connection with the Services.
This section does not require you to indemnify Charge for losses caused by Charge's own conduct where such indemnification would be prohibited by applicable law.
Your privacy is important to us. Our collection, use, disclosure, storage, and handling of personal information in connection with the Services is described in our Privacy Policy.
By using the Services, you acknowledge that you have access to the Privacy Policy and understand that your information will be handled as described there and as required by applicable law.
If there is a conflict between these Legal Terms and the Privacy Policy regarding how personal information is collected, used, or handled, the Privacy Policy will control with respect to that privacy matter.
These Legal Terms and your use of the Services will be governed by the laws of the State of Wisconsin, United States, without regard to conflict-of-law rules, except to the extent the laws of your jurisdiction provide you with non-waivable consumer protections.
To the extent permitted by applicable law, you and Charge consent to the jurisdiction of the appropriate state or federal courts located in Wisconsin for disputes arising out of or relating to these Legal Terms or the Services.
Before filing a lawsuit arising out of or relating to these Legal Terms or the Services, you and Charge agree to make a good-faith effort to resolve the dispute informally.
The party raising the dispute should provide written notice describing the dispute and requested resolution. Notices to Charge may be sent to chargeapp.support@gmail.com.
The parties will attempt to resolve the dispute informally for at least 30 days after notice is received before filing a court action, unless immediate legal action is reasonably necessary, applicable law provides otherwise, or the applicable limitation period would expire.
These Legal Terms do not require binding arbitration.
Nothing in this section prevents either party from bringing an eligible claim in small claims court or exercising rights that cannot lawfully be restricted by contract.
Using the Services, sending emails to us, and submitting electronic forms constitute electronic communications.
You consent to receive communications from us electronically when reasonably necessary to operate your account, provide the Services, complete transactions, provide legal or security notices, respond to you, or otherwise communicate as permitted by law.
You agree that electronic communications, notices, disclosures, and other records provided to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.
We may update these Legal Terms from time to time to reflect changes to the Services, our business practices, applicable law, or other operational or legal requirements.
When we update these Legal Terms, we will revise the "Last updated" date at the top of this page.
If we make a material change, we may provide additional notice through the Services, by email, or by another reasonable method where required by law.
Changes will apply prospectively from their effective date unless applicable law requires otherwise.
Your continued use of the Services after updated Legal Terms become effective constitutes acceptance of those updated terms to the extent permitted by applicable law. If you do not agree to an update, you should stop using the Services and may delete your account.
These Legal Terms, together with the Privacy Policy and any additional terms or policies expressly incorporated into them, constitute the entire agreement between you and Charge concerning the Services.
Our failure to exercise or enforce a right or provision of these Legal Terms will not operate as a waiver of that right or provision.
If any provision of these Legal Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
You may not assign or transfer your rights or obligations under these Legal Terms without our prior written consent. We may assign these Legal Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or other transfer of the Services, subject to applicable law.
